Welcome to Totality Life Coaching, Inc. (“Company”, “we”, “us”, “our”). These Terms and Conditions (“Terms”) govern your access to and use of our personal coaching services, group coaching services, in-person courses, online courses, digital downloads, and any related products or services (collectively, the “Services”). By enrolling in or using our Services, you agree to abide by these Terms. If you do not agree to these Terms, please do not use our Services.

1. Acceptance of Terms
By registering for or participating in any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. These Terms constitute a legally binding agreement between you and Totality Life Coaching, Inc.

2. Services Provided
Our Services include, but are not limited to:
• Personal Coaching: One-on-one sessions tailored to your personal growth and development.
• Group Coaching: Sessions conducted with multiple participants. Please note that while we strive for confidentiality, group settings do not guarantee privacy among participants.
• In-Person Courses: Courses held at designated physical locations.
• Online Courses: Digital courses delivered through our secure online platform.
• Digital Downloads: Downloadable content such as eBooks, templates, recorded sessions, or other digital materials available for purchase.
Each Service is designed to provide educational and personal development benefits and is not intended to replace professional advice (medical, therapeutic, legal, financial, etc.). Coaching is not psychotherapy or a psychological service, and is designed to help clients set and achieve goals, not to diagnose or treat emotional conditions. Always seek the appropriate professional guidance for your specific circumstances. You agree to hold harmless Totality Life Coaching, Inc. and its officer/s for any possible negative effects that may coincide with this course or coaching product.
Results and outcomes of courses and coaching services, including this course, are not guaranteed. Success is dependent on many factors, some of which are beyond Our control.

3. Payment Terms and Refund Policy
3.1 Fees and Payment Structures
• Pricing: All fees for Services will be clearly communicated prior to enrollment or purchase.
• Payment Options: You may be required to pay the full fee upfront or, where applicable, in installments. If installments are offered, access to course or digital content may be restricted until all payments have been received.
• Billing Authorization: By enrolling or purchasing a Service, you authorize Totality Life Coaching, Inc. to charge your designated payment method in accordance with the agreed billing schedule.
3.2 Refunds and Satisfaction Guarantee
• Refund Window: Refunds for courses, digital downloads, and related products are available only if requested via email at [email protected] within 30 days of purchase or completion of no more than 25% of the course or coaching content, whichever is earlier.
Requests submitted after 30 days or after completion of 25% of the course or coaching content will not be eligible for a refund.
• Cancellation Policy for Coaching: For one on one individual coaching sessions, cancellations must be made at least 24 hours in advance. Failure to provide timely notice will result in forfeiture of the session fee by the client. No make-up sessions will be offered for missed individual sessions without 24 hours' notice, or an absence from one or more synchronous group coaching sessions.

4. Scheduling, Cancellation, and Rescheduling
• Session Scheduling: Coaching sessions, course schedules, and digital download availability are provided as a courtesy. We reserve the right to modify, cancel, or reschedule sessions or content delivery if necessary.
• Client-Initiated Cancellations for online and in-person courses: You are required to notify us no later than 24 hours in advance of the course start date if you need to cancel your attendance in a course. Failure to provide sufficient notice may result in lost fees.
• Company-Initiated Cancellations: If we must cancel or reschedule a session, course, or digital download availability for any reason, you will be notified promptly and offered a rescheduled time or a refund as appropriate.

5. Intellectual Property and Content Licensing
5.1 Ownership and License to Use
• Ownership: All content provided through our Services—including coaching materials, course content, digital downloads, presentations, and other digital assets—is the intellectual property of Totality Life Coaching, Inc. and is protected by copyright and other intellectual property laws.
• Licence Grant: Upon purchase, you receive a limited, non-exclusive, non-transferable, and non-sublicensable licence to access and use the course or digital content for your personal, non-commercial use only. This license does not transfer ownership of the content.
• Revocability: We reserve the right to revoke this license if you fail to comply with these Terms.
5.2 Usage Restrictions
• Personal Use Only: Course content, digital downloads, and related materials are for personal use only. You may not reproduce, repurpose, or distribute our content for commercial gain.
• Prohibition on Copying or Sharing: You are expressly prohibited from sharing, reselling, or otherwise distributing the content to third parties, including sharing login credentials. Violation of these terms may result in immediate termination of access.

6. Additional Course Terms and Conditions
For our online courses, digital downloads, and related educational materials, the following provisions are essential to protect our content and your interests:
6.1 Licence and Usage
• Non-Ownership: When you purchase access to our course content or digital downloads, you are not buying ownership of the content; you are receiving a revocable license under the terms stated above.
• Limited Rights: Your license is non-exclusive, non-transferable, non-sublicensable, and limited to the use specified in these Terms.
6.2 Protection Against Misuse
• Prohibited Actions: You may not repackage, redistribute, or use our course materials to create competing products or courses. All course content is provided solely for your personal development.
• Content Sharing Restrictions: You must not share course content, digital downloads, or login details with any third parties. We reserve the right to revoke access if these terms are violated.
6.3 Disclaimers and Liability Protections
• Results Disclaimer: Success in our courses depends on individual effort, skills, and circumstances. We do not guarantee specific outcomes, and results will vary.
• No Warranties: Our courses and digital downloads are provided “as is” without warranties of any kind, either express or implied.
• Limitation of Liability: To the fullest extent permitted by law, Totality Life Coaching, Inc. is not liable for any indirect, incidental, special, consequential, or punitive damages related to your use of our Services.
6.4 Payment Details
• Installment Payment Terms: If an installment payment is available for a specific product or service, and you choose an installment payment option, your access to the course or digital content may be limited until full payment is received. You authorize us to charge your payment method automatically according to the agreed schedule.
• Missed Payments: Failure to adhere to the payment schedule may result in loss of access until the account is brought current.
6.5 Access, Updates, and Bonus Content
• Access Duration: Access to our courses and digital downloads is provided for the period specified at the time of purchase. “Lifetime access” means access is maintained until the course or digital product is discontinued, not indefinitely.
• Course Updates: We may update our courses or digital downloads periodically. Access to major updates may not be automatically provided free of charge.
• Bonus Offers & Add-Ons: Any bonus modules or future add-ons are considered separate from the core course content and may be subject to additional terms.
6.6 Private Student Groups and Community
• Community Access: Participation in any private student groups or online communities (e.g., Facebook groups) is offered as a courtesy. Such groups are not a core component of the course, and we are not responsible for their availability, the content posted within them, or for the terms of use of the platform.
• Moderator Rights: We reserve the right to remove members or restrict access to these groups as needed to maintain a positive environment.
6.7 Compliance with Privacy and Data Protection Laws
• Data Collection: Enrollment in our courses and purchase of digital downloads involve the collection of personal data. We comply with applicable privacy and data protection laws.

7. Disclaimers and Limitation of Liability
• Disclaimer of Professional Advice: Our Services are intended for educational and personal development purposes only. They do not substitute for professional advice in fields such as medicine, psychotherapy or psychology, law, or finance. Coaching is useful for developing clarity about goals, creating action plans, and setting out to achieve goals, and is not the same as psychotherapy, and no diagnosis or treatment of emotional conditions is implied or intended. You agree to hold Totality Life Coaching, Inc. and its officer/s harmless in this regard.
• No Guarantees: While we strive to offer high-quality coaching and educational experiences, we do not guarantee any specific results.
• Limitation of Liability: In no event shall Totality Life Coaching, Inc.’s total liability exceed the fees paid by you for the relevant Service, nor shall we be liable for any indirect or consequential damages. You agree to hold harmless Totality Life Coaching, Inc. and its officer.

8. Dispute Resolution
• Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada.
• Resolution Process: Any disputes arising from these Terms shall first be addressed through informal negotiations. If unresolved, disputes will be submitted to binding arbitration in Ontario in accordance with applicable rules. Each party will bear its own costs unless otherwise determined by the arbitrator.

9. Modifications to Terms
Totality Life Coaching, Inc. reserves the right to amend or update these Terms at any time. Changes will be effective immediately upon posting on our website or communicating them by other means. Continued use of our Services following any such changes constitutes your acceptance of the new Terms.

10. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.
